The Craft Ecademy Ltd ® Affiliates Terms and Conditions

DEFINITIONS

Throughout this agreement, the following terms shall apply:

"Affiliate" or "You" refers to the individual or entity participating in The Craft Ecademy Ltd's affiliate program and promoting the products and services offered by The Craft Ecademy Ltd.
"The Craft Ecademy Ltd" or "Us" pertains to The Craft Ecademy Ltd, the organization providing the affiliate program.
"The Ultimate Life Casting Training Series®," "The Ultimate Silver Clay Keepsake Jewellery Training Series®," "The Ultimate Pet Keepsake Training Series®," "The Keepsake Guild®," and all associated courses are brand names and products offered by The Craft Ecademy Ltd.
"Affiliate Areas" include any membership sections, groups, content, emails, or platforms through which affiliates access materials or intellectual property provided by The Craft Ecademy Ltd.
AFFILIATE PARTNER CODE OF CONDUCT:

• Integrity and Transparency: You commit to representing us as an affiliate with the utmost integrity, honesty, and transparency. You must clearly disclose your independent affiliate status and the receipt of commissions in all promotional activities. Misrepresentation is strictly prohibited.

• Truthful Marketing: All marketing and advertising materials related to our products and services must be accurate, truthful, and compliant with legal regulations. False or fraudulent statements are not allowed.

• Responsible Linking: It is your responsibility as an affiliate to ensure that your customers and followers use the correct affiliate links for purchases. We cannot retroactively assign credit for past purchases made through incorrect links. Our cookies remain active for 30 days.

• Ethical Practices: You must refrain from employing unethical tactics, including hacking or link hijacking, to gain commissions or improve your leaderboard position.

• Restricted Keywords: You are prohibited from purchasing domains or utilizing paid advertising with keywords resembling our brand names, such as "The Craft Ecademy®" or any associated product names.

• Social Media Etiquette: Do not promote your affiliate link to our existing customers on our social media platforms. Unsolicited messaging to our customers for commission purposes will disqualify your sales.

• Bonus Limitation: If you choose to incentivize your followers or friends with a special bonus for using your affiliate link, the bonus value must not exceed $299 USD.

• Anti-Spam Policy: Engaging in spamming tactics with our affiliate links is strictly prohibited.

• VAT and Sales Tax: Commissions apply only to the product price as advertised, excluding VAT or sales tax. Any additional taxes are not eligible for commission.

• Tax Responsibility: You are responsible for paying any income, corporate, sales taxes (if applicable) or equivalents in your country of operation. Commission is capped at 20% of the product's value at the time of purchase.

• Fraudulent Traffic: Do not generate fraudulent or fake traffic to win prizes in competitions; such actions will lead to disqualification.

• Respectful Behavior: Show respect to fellow affiliates, and any misconduct may result in disqualification from our affiliate program.

INTELLECTUAL PROPERTY AND CONFIDENTIALITY

1a) Confidentiality: The content provided by us is confidential and is solely for your personal use. Without our written consent, you have no rights to modify, download, transfer, distribute, reproduce, or duplicate any materials in the affiliate areas, including the Facebook Group. You cannot use the content, internal systems, or processes for your own business or teach the material to your clients.

1b) Mutual Non-Disclosure: Both parties agree to a mutual non-disclosure agreement. You will not disclose, reveal, or use any confidential information or transactions, whether in discussions, privately, in affiliate areas, or elsewhere. All confidential information must be kept in strict confidence.

1c) Definition of Confidential Information: Confidential information includes, but is not limited to, non-public information related to our business activities, content, training, products, services, procedures, customers, marketing techniques, advertising policies, trade secrets, proprietary information, and research.

1d) Disclaimer: Content provided by The Craft Ecademy or third parties is provided "AS IS," and we disclaim any warranties, implied or expressed. We exclude liability for any statements made in the content, as permitted by law.

LIABILITY

2a) Limitation of Liability: These terms and conditions do not limit liability for death, personal injury, fraud, or fraudulent misrepresentation.

INDEMNITY

In the event of your breach of any terms and conditions, you agree to indemnify us against all losses, expenses, damages, claims, and costs resulting from any misleading statements, acts, or omissions by you against us and our affiliates.

BRIBERY

All members must:

4a) Comply with all applicable rules and regulations, including the Bribery Act 2010 and other international anti-bribery laws.

4b) Adhere to our anti-bribery processes.

4c) Promptly report any undue financial advantage or requests received.

4d) Failure to report promptly will result in a material breach of your terms and conditions, leading to immediate membership termination.

GENERAL

5a) Third-Party Rights: Third parties without a signed agreement are not considered parties to these terms but may rely on them under the Contracts (Rights of Third Parties) Act 1999.

5b) Entire Agreement: These terms and conditions constitute the entire agreement between you and us, superseding all prior written or oral engagements related to the subject matter.

5c) Governing Law: Any disputes shall be interpreted under the laws of England.

5d) Jurisdiction: We may choose to use the courts of England and Wales to govern disputes, but we reserve the right to bring proceedings in the domicile of a member's country.

5e) Severability: If any clause in this agreement is deemed invalid in a particular jurisdiction, all remaining terms remain enforceable.

5f) No Partnership or Agency: These terms do not establish a partnership or agency between affiliates and The Craft Ecademy Ltd.

5g) Rights and Obligations: You may not transfer, distribute, or dispose of your rights and obligations that could harm our reputation. You agree to indemnify us for any breaches.

5h) Changes to Terms: We reserve the right to alter, amend, or vary these terms and conditions without notice. It is your responsibility to stay informed of any changes.
